Senior Attorney

Responsible for providing legal assistance and support to all Shape areas, on demand, as well as taking initiative to proactively advise relevant Shape management of legal issues of interest to the company.


Responsible for supporting Shape Leadership in the risk assessment of legal issues and strategies to manage identified risks within proposals, contracts and subcontracts, and overall business operations of Shape.


Responsibilities:




  • Advise, accurately and timely, all Departments of Shape on legal rights and obligations, by promptly reacting to demand and by offering voluntary assistance focused on problem solving.


     




  • Coordinate litigation, dispute resolution and administrative procedures involving Shape, including but not limited to those related to labor and employment, while coordinating and monitoring the day-to-day legal activities of the organization with the assistance of outside counsel.


     




  • Engage, coordinate and liaise with outside counsel and legal firms and consolidate updated information on local lawsuits and administrative proceedings involving and/or of interest to Shape, by interacting with outside counsel and preparing reports, as well as explaining legal language from outside counsel to Shape Leadership, as may be required.


     




  • Coordinate legal representation and defense in court proceedings and any needs related to necessary information to be supplied to outside counsel, by selecting and sharing relevant documentation and providing recommendations.


     




  • Endeavor to cut down costs with outside counsel, by monitoring opportunities and identifying the possibility of negotiation.


    Create and implement effective local procedures/flows to ensure compliance with laws and regulations and the effective prevention and detection of violation.


     




  • Regularly review mentioned procedures/flows and recommend appropriate modifications, in view of applicable regulatory, legal and customary requirements, including advising Shape Leadership of potential legal risk areas.


     




  • Coordinate legal assignments and develop solutions to legal problems by independent analysis, interpretation and evaluation of applicable principles and precedents.


     




  • Assist on preparation of proposals (to clients and from suppliers), by reviewing, interpreting and advising on T&Cs.


     




  • Draft, review and negotiate a wide range of commercial contracts, including but not limited to client contracts/subcontracts/consortium/joint venture terms and conditions to ensure conformity with applicable laws and identify deviations from accepted Shape risk policy, practice and any unusual business or significant legal risks.


     




  • Work closely with Human Resources and Finance to assist with the identification and resolution of relevant legal issues impacting Shape.


    Supervise the provision of corporate legal assistance, by reviewing powers of attorneys, articles of associations and amendments thereto, minutes of partners meetings and similar legal documents.


     




  • Keep abreast of legislative changes that may affect Shape, by staying alert to information from reliable communication vehicles and legislative repositories.


     




  • Provide Legal Opinions on complex issues, through analysis of case law and legal research.


     




  • Represent the company in relevant committees and/or industry associations and, if needed be, before the relevant public authorities.


     




  • Strive to accomplish organization goals, by accepting ownership of new and different requests and by exploring opportunities to add value to Shape.




Requirements


 




  • Law Degree (Post-Graduation and continued education on matters relevant to job performance are expected).


    Certificações / Certifications:


     




  • OAB – Brazilian Bar Association


     




  • Relevant Experience:


     




  • Experience as in-house counsel of at least years. Familiarity with Intellectual Property, patent and copyright desired. Overall ability to provide legal advice, draft and negotiate contracts of various kids, from day-to-day work orders to complex agreements. Experience in conducting interface with outside counsel and coordination and control of legal procedures of various kinds.


     




  • Must demonstrate the ability to handle multiple tasks and changing priorities in a fast-paced environment.


     




  • Legal background in the international business transactions is a plus.


     




  • Some travel, including international, may be required.
